1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you and ZendBX, Inc. ("ZendBX," "we," "us," or "our") governing your access to and use of the ZendBX platform, including our website, APIs, SDKs, CLI tools, and related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.
2. Eligibility
You must meet the following requirements to use our Services:
- You are at least 18 years of age
- You have the legal capacity to enter into binding contracts
- You are not prohibited from using our Services under applicable laws
- You comply with these Terms and all applicable local, state, national, and international laws
3. Account Registration and Security
3.1 Account Creation
To use certain features of our Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
3.2 Account Security
You are responsible for maintaining the security of your account credentials, API keys, and service keys. We recommend enabling two-factor authentication and regularly rotating your API keys.
4. Services Description
ZendBX provides a backend-as-a-service platform that includes:
- PostgreSQL database hosting and management
- RESTful API generation and access
- Authentication and authorization services
- Real-time data synchronization
- File storage and management
- Database functions, triggers, and stored procedures
- API keys and access control
- Database backups and recovery
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice.
5. User Responsibilities and Acceptable Use
5.1 Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Violate any applicable laws, regulations, or third-party rights
- Use our Services to store, transmit, or distribute illegal, harmful, or offensive content
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the integrity or performance of our Services
- Use automated scripts or bots to access our Services without permission
- Reverse engineer, decompile, or attempt to extract source code from our Services
- Remove, obscure, or alter any proprietary notices on our Services
- Use our Services to send spam, phishing attempts, or malicious content
- Exceed rate limits or engage in abusive API usage patterns
- Resell or redistribute our Services without authorization
5.2 Your Content
You retain all rights to the content and data you store on our platform ("Your Content"). You are solely responsible for:
- Ensuring you have the necessary rights to Your Content
- Compliance with data protection and privacy laws
- Backing up Your Content (in addition to our backup services)
- The accuracy, quality, and legality of Your Content
6. License and Intellectual Property
6.1 License to Use Services
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business or personal purposes.
6.2 License to Your Content
By uploading or storing Your Content on our Services, you grant us a license to host, store, process, and transmit Your Content solely to provide and improve our Services. We will not use Your Content for any other purpose without your consent.
6.3 Our Intellectual Property
The Services, including all software, code, designs, trademarks, and documentation, are owned by ZendBX and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works without our prior written consent.
7. Pricing, Payment, and Billing
7.1 Subscription Plans
We offer various subscription plans with different features and usage limits. Current pricing is available on our website. We reserve the right to change our pricing with 30 days' notice to existing customers.
7.2 Payment Terms
- All fees are in USD unless otherwise stated
- Subscription fees are billed in advance on a monthly or annual basis
- Payment is due immediately upon invoice
- You authorize us to charge your payment method automatically
- Fees are non-refundable except as required by law or stated in these Terms
7.3 Free Tier and Trial
We may offer free tier access or trial periods. Free tier usage is subject to usage limits and may be modified or discontinued at any time. Trial periods automatically convert to paid subscriptions unless cancelled before the trial ends.
7.4 Overages and Usage Limits
If you exceed your plan's usage limits (API calls, storage, bandwidth), we may charge additional fees or temporarily suspend your access until you upgrade your plan or usage returns to normal levels.
8. Termination
8.1 Termination by You
You may terminate your account at any time through your account settings or by contacting support. Upon termination, you will lose access to your projects and data. We recommend exporting your data before termination.
8.2 Termination by Us
We may suspend or terminate your access to our Services immediately if:
- You violate these Terms or our policies
- Your account shows signs of fraudulent or abusive activity
- You fail to pay fees when due
- We are required to do so by law
- Continuing to provide Services creates a security or legal risk
8.3 Effect of Termination
Upon termination, your right to use the Services ceases immediately. We will retain your data for 30 days after termination, after which it will be permanently deleted unless legally required to retain it longer.
9. Warranties and Disclaimers
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that the Services will be uninterrupted, secure, or error-free
- Warranties regarding the accuracy, reliability, or completeness of content
- Warranties that defects will be corrected
While we strive to provide reliable services with high uptime, we do not guarantee 100% availability. You are responsible for maintaining backups of Your Content.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENDBX SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Service interruptions or data loss
- Unauthorized access to or alteration of your data
- Actions or content of third parties
Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the amounts paid by you to ZendBX in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless ZendBX, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Services, (b) Your Content, (c) your violation of these Terms, or (d) your violation of any rights of another party.
12. Service Level Agreement (SLA)
For paid plans, we commit to the following uptime targets:
- API Uptime: 99.9% monthly uptime
- Database Uptime: 99.9% monthly uptime
- Scheduled Maintenance: Announced 48 hours in advance
If we fail to meet these targets, you may be eligible for service credits as outlined in our SLA documentation. SLA does not apply to free tier accounts.
Exclusions from SLA include downtime caused by factors outside our control, scheduled maintenance, or issues caused by your actions or third-party services.
13. Data Protection and Privacy
We process personal data in accordance with our Privacy Policy and applicable data protection laws including GDPR and CCPA. Key points:
- You act as the data controller for Your Content
- We act as the data processor when handling Your Content
- You are responsible for obtaining necessary consents from your users
- We implement appropriate technical and organizational security measures
- Data Processing Agreement (DPA) available upon request for enterprise customers
14. Dispute Resolution
14.1 Informal Resolution
Before filing a claim, you agree to contact us to attempt to resolve the dispute informally. We will try to resolve disputes amicably through good faith negotiations.
14.2 Governing Law
These Terms are governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to conflict of law principles.
14.3 Arbitration
Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the rules of [Arbitration Association]. Arbitration will be conducted in English. You agree to waive your right to a jury trial.

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ZendBX regarding the Services.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
16.3 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
16.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor without restriction.
16.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, government actions, or network failures.
